Small Commercial Participant
Program Rules & Customer Agreement in TDM Load Zones
These Program Rules and Customer Agreement pertain only to businesses in Targeted Demand Management (TDM) Load Zones. (TDM) Load Zones are specific areas in which load growth forecasts indicate that system demand will exceed the capacity of the existing transmission and distribution system, requiring infrastructure upgrades within the next 10 years.
Eligibility
- Open to all commercial rate classes in the TDM Load Zones.
- All Customers must be named on the electric account with Central Hudson Gas & Electric.
- Customer must have a central air conditioner or heat pump, or pool pump.
- Customer must have control of their thermostat to participate in the Air Conditioning or Heat Pump Program.
- If Customer is a tenant, landlord approval is required in writing.
The Air Conditioning and Heat Pump Program
Direct Load Control Devices
- Customer can select either a qualified web-programmable thermostat or an outdoor switch to be used to cycle the air conditioning or heat pump compressor on and off during times of high overall electricity demand.
- Central Hudson Gas & Electric by or through its Contractor(s) will provide and install the qualified device(s) at no charge to Customer.
- Customer will assume and acquire ownership of the device.
- Central Hudson Gas & Electric by or through its Contractor(s) will install and issue Customer a reward check for one device for each eligible air conditioning unit or heat pump on the premises.
Credits
- Central Hudson Gas & Electric will issue Customer an Installation Reward ($125), and at Customer’s request either mail a check in the full amount within 4 – 6 weeks after the device is installed or apply the same amount as a credit that will appear on Customer’s bill statement within two billing cycles following installation.
- Central Hudson Gas & Electric will issue the Annual Reward on a prorated basis ($12.50 for 30% cycling; or $18.75 for 50% cycling) for each full or partial month of participation, June 1 through September 30, and at Customer’s preference either mail a check to Customer within 4 – 6 weeks after September 30 each year or apply the same amount as a credit detailed on Customer’s October bill statement.
- For credit eligibility, “Participation” is defined as retaining a 2-way device (web-programmable thermostat) that is online or a 1-way device (outdoor switch) that is installed and operational.
Customer Rewards for the Air Conditioning Program are:
Cycling Level: 30% 50%
Installation Reward: $85 $125
Annual Reward: $50 $75
Participation
- Customer agrees to permit Central Hudson Gas & Electric, at its election, to cycle the compressor of Customer’s central air conditioner unit or heat pump on and off during times of high overall electricity demand (a “Conservation Event”).
- 30% cycling means that during a “Conservation Event” the compressor will operate 70% of the time that it operated during the hour prior to the Conservation Event.
- 50% cycling means that during the “Conservation Event” the compressor will operate half of the time that it operated during the hour prior to the Conservation Event.
- Customer may experience a temperature increase as outlined below during a Conservation Event dependent on variables such as building insulation, shaded windows, the use of ceiling fans, and the amount of foot traffic, which can also affect the temperature:
Cycling Level Temperature Change
30% 1 – 2 degrees
50% 1 – 3 degrees
Terminating Participation
- Customer shall have the right at any time to opt out and terminate its participation in the program by notifying Central Hudson Gas & Electric in writing or by telephone.
- If Customer terminates or ceases to participate in the program, Central Hudson Gas & Electric or its Contractor(s) will disable the device(s) in the billing systems effective immediately; the qualified programmable device(s) will no longer be cycled during Conservation Events; and Customer will no longer receive bill credits or Rewards. The qualified programmable device(s) will not be removed unless requested in writing by Customer. After Customer opts out and terminates participation in the program, the thermostats will operate in standard/normal/non-conservation mode and access to Customer’s Engagement Portal will be terminated.
Conservation Events
- Conservation Events will occur June 1 through September 30, between noon and 8 p.m., will last for at least one-half (1/2) hour, and may last for up to four (4) hours. In the event of a regional or system-wide emergency, events may last longer than 4 hours.
- Conservation Events will not occur on weekends or federal holidays.
- During a Conservation Event, Customer will see an indicator light on the program device.
- Customer may opt out of up to two Conservation Events per year by calling 1-844-258-7761.
- NYISO, the state’s electrical transmission authority, could require emergency Conservation Events for regional reliability reasons any time of year, for which Central Hudson Gas & Electric may, for compliance, be required to cycle air conditioners and heat pumps. Customer may not opt out of an NYISO Conservation Event.
Qualifying Thermostats
- Customer may purchase and install his/her own qualifying two-way programmable thermostat(s).
- Qualifying thermostats for the program are specific models designated by Itron and approved by Central Hudson Gas & Electric
- Central Hudson Gas & Electric will issue Customer a Purchase Rebate ($85), and at Customer’s preference either mail a check in the full amount within 4 – 6 weeks after the device is installed or apply the same amount as a bill credit that will appear on Customer’s statement within two billing cycles following installation.
- Central Hudson Gas & Electric will provide installation of the qualifying thermostat(s) at no charge or, should Customer choose, an Installation Rebate ($85) issued at Customer’s preference 4 – 6 weeks after a qualified device is installed and activated or may apply said same Rebate amount as a credit that will appear on Customer’s bill statement within two billing cycles following installation.
- Central Hudson Gas & Electric will issue the Annual Reward on a prorated basis ($12.50 for 30% cycling; or $18.75 for 50% cycling) for each full or partial month of participation, June 1 through September 30, and at Customer’s preference either mail a check to Customer within 4 – 6 weeks after September 30 each year or apply the same amount as a credit detailed on Customer’s October bill statement.
- For credit eligibility, “Participation” is defined as retaining a 2-way device (web-programmable thermostat) that is online.
- Central Hudson Gas & Electric may modify the incentive structure at any time.
Customer Rewards for participation with customer-purchased thermostats are:
Cycling Level: 30% 50%
Purchase Rebate: $85 $85
Installation Rebate*: $85 or free installation for both 30% and 50%
Annual Reward: $50 $75
* Customer may elect to have Central Hudson Gas & Electric install the purchased thermostat or receive an Installation rebate of $85 if a qualified device is properly installed and activated by a 3rd Party or self-installed.
The Pool Pump Program
- A Customer with a pool pump may participate in the Pool Pump Program.
- An outdoor switch will be installed on the participating Customer’s pool pump, which will be used to control the pump during times of high overall electricity demand.
- Central Hudson Gas & Electric will issue Customer an Installation Reward ($125), and at Customer’s preference either mail a check in the full amount within 4 – 6 weeks after the qualified device is properly installed and activated or apply the same amount as a credit that will appear on Customer’s bill statement within two billing cycles following installation.
- Central Hudson Gas & Electric will issue the Annual Reward on a prorated basis ($18.75) for each full or partial month of participation, June 1 through September 30, and at Customer’s preference either mail a check to Customer within 4 – 6 weeks after September 30 each year or apply the same amount as a credit detailed on Customer’s October bill statement.
Customer Rewards for the Pool Pump Program are:
Cycling Level: 100%
Installation Reward: $125
Annual Reward: $75
Pool Pump Conservation Events
- Conservation Events will occur June 1 through September 30, between noon and 8 p.m., will last for at least one-half (1/2) hour, and may last for up to four (4) hours. In the event of a regional or system-wide emergency, events may last longer than 4 hours.
- 100% cycling means the pool pump will not operate throughout the Conservation Event. The pool pump will return to normal operation when the Conservation Event has ended.
- Conservation Events will not occur on weekends or federal holidays.
- During a Conservation Event, Customer will see an indicator light on the program device.
- Customer may opt out of up to two Conservation Events per year by calling 1-844-258-7761.
- NYISO, the state’s electrical transmission authority, could require emergency Conservation Events for regional reliability reasons any time of year, for which Central Hudson Gas & Electric may, for compliance, be required to turn off pool pumps for the duration of the event. Customer may not opt out of an NYISO Conservation Event.
Customer Agreement
- BY SUBMITTING AND SIGNING YOUR ENROLLMENT CARD, OR BY PARTICIPATING IN THE CENTRAL HUDSON GAS & ELECTRIC CENTRAL HUDSON PEAK PERKS PROGRAM (HEREINAFTER REFERRED TO AS THE “PROGRAM”), YOU (“CUSTOMER”) CERTIFY THAT YOU ARE A NAMED CENTRAL HUDSON GAS & ELECTRIC ACCOUNT HOLDER, AND YOU AGREE TO THE TERMS, PROVISIONS, RESPONSIBILITIES, AND CONDITIONS OF THIS PARTICIPATION AGREEMENT, INCLUDING THE INSTALLATION OF A WEB-PROGRAMMABLE THERMOSTAT INSIDE YOUR HOME OR AN OUTDOOR SWITCH (BOTH REFERRED TO HEREIN AS THE “EQUIPMENT”). IF YOU WISH TO OPT OUT, TERMINATE OR CANCEL AFTER THE QUALIFIED DEVICE HAS BEEN INSTALLED, YOU MAY DO SO ON THIRTY (30) DAYS PRIOR WRITTEN NOTICE TO BOTH CENTRAL HUDSON GAS & ELECTRIC AND ITRON AND MAY REQUEST THAT THE DEVICE BE REMOVED. A PORTION OF THE INSTALLATION CREDIT WILL BE REVERSED IF CUSTOMER OPTS OUT WITHIN 12 MONTHS OF INSTALLATION OF THE DEVICE.
- Central Hudson Gas & Electric (or its Contractor) will install the Equipment. While it is not necessary for Customer to be home while Central Hudson Gas & Electric installs the outdoor switch, Customer may request an appointment so that Customer may be home during installation. If Customer is at home, Customer may advise the installer as to where the device is to be placed provided it is in a reasonably accessible location. Installer will attempt to accommodate Customer’s request so long as the desired location will provide the required functionality and it is reasonably accessible. Customer agrees that, if the web-programmable thermostat is to be installed, Customer will need to make an appointment and have a responsible adult at home during the installation inside Customer’s home. Central Hudson Gas & Electric (or its contractor) will be responsible for properly disposing of the old thermostat(s), if necessary. Customer agrees to provide Central Hudson Gas & Electric or its Contractor with access, at reasonable times, to Customer’s premises to install, inspect, maintain, and/or repair the Equipment.
- Unless Central Hudson Gas & Electric advises Customer otherwise, after installation the device shall become the property of the Customer. Customer agrees to notify Central Hudson Gas & Electric if Customer disconnects or removes the Equipment. This Agreement and the Equipment supplied by Central Hudson Gas & Electric are not assignable or otherwise transferable by Customer. Central Hudson Gas & Electric and Itron will not be liable to Customer or to any third party for any losses or damages, including loss of profits, loss of earnings, loss of business opportunities, and personal injuries (including death), either to Customer or any third party person or entity, including, without limitation, to Customer’s equipment, assets or property, any damage resulting from or arising out of Customer’s participation in the Program, and/or the use, possession or operation of the device.
- Customer understands that Central Hudson Gas & Electric assumes no responsibility for and shall have no responsibility for the condition or repair of Customer’s central air conditioner or other equipment. Customer understands that Customer is responsible for the repair and maintenance of Customer’s equipment.
- THE PROGRAM AND DEVICE ARE PROVIDED “AS IS.” CUSTOMER UNDERSTANDS, ACKNOWLEDGES AND AGREES THAT NEITHER CENTRAL HUDSON GAS & ELECTRIC NOR ITRON MAKES ANY REPRESENTATION OR WARRANTIES ABOUT THE DEVICE OR PROGRAM, WHICH ARE BEING PROVIDED WITHOUT WARRANTY, REPRESENTATION, OR GUARANTEE OF ANY KIND OR NATURE, AND CENTRAL HUDSON GAS & ELECTRIC HEREBY DISCLAIMS ANY AND ALL SUCH WARRANTIES, REPRESENTATIONS, AND GUARANTEES, INCLUDING, BUT NOT LIMITED TO, ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, CENTRAL HUDSON GAS & ELECTRIC HEREBY DISCLAIMS ALL WARRANTIES.
- To the fullest extent permitted by law, Customer agrees to defend, indemnify, and hold harmless Central Hudson Gas & Electric and Itron and their contractors, subsidiaries, affiliates, officers, agents, and employees, from and against any claims arising from or in any way related to Customer’s acts or omissions, use of the device, or participation in the Program, including any liability, cost, damage or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, and litigation costs, of every kind and nature, including attorney’s fees.
- This Agreement constitutes the entire agreement between Customer and Central Hudson Gas & Electric. No undertaking, representation, or warranty made by any agent or representative of Central Hudson Gas & Electric in connection with the sale, installation, maintenance, or removal of services or Equipment shall be binding on Central Hudson Gas & Electric except as expressly included herein.
- Customer understands that Central Hudson Gas & Electric reserves the right to modify the terms of the Central Hudson Gas & Electric Central Hudson Peak Perks program, and notify Customer of such program modification. Customer’s continued participation in the Program following notice of such change shall be considered acceptance. If customer wishes to terminate their participation, they may do so by calling 1-844-258-7761.
- Central Hudson Gas & Electric may assign or delegate any of its rights or obligations under this Agreement to any contractors or any other third-party entity or organization. Customer may not assign or transfer Customer’s rights without Central Hudson Gas & Electric’s prior written consent.
- The above provisions concerning indemnification, limitation, and disclaimer of warranties, representations and guarantees, and the limitations of liability of Central Hudson Gas & Electric will survive the termination or expiration of this Agreement and Customer’s participation in the Program. Failure to insist on strict performance of the terms will not operate as a waiver of any subsequent default or failure of performance. If any provision, section or portion of this Agreement is determined to be invalid or unenforceable by a court of competent jurisdiction, then the invalid or unenforceable provision, section or part will be deemed ineffective and unenforceable, but the remainder of the Agreement shall remain in effect. No joint venture, partnership, employment, or agency relationship exists between Customer and Central Hudson Gas & Electric as a result of this Agreement.
